CNET expects to issue approximately 50 million shares of common stock in the transaction. Through the acquisition, CNET will inherit online technology site ZDNet, Ziff-Davis' magazine Computer Shopper, online education service SmartPlanet, and Ziff-Davis' ownership interest in Red Herring. The consolidation of two former archrival tech news companies, CNET and ZDNet, means an increased international presence, giving the combined company a foothold in 23 countries around the world. Together they will rank as the eighth largest property on the Internet, with a reach of 22 percent, according to the latest Media Metrix data. The acquisition comes at an unusual time for Ziff-Davis, which has been in the process of restructuring its holdings at the behest of its largest shareholder, SOFTBANK, which has already given the acquisition its nod of approval. Ziff-Davis agreed to sell its publishing division to equity investment firm Willis Stein & Partners for $780 million in December of last year, and is in the process of spinning out its trade-show and conference division, including the mega-tech conference Comdex held yearly in Las Vegas. Divesting those operations wiped out Ziff-Davis' sizeable debt and left it a pure-play Internet firm focused around ZDNet. "Why do this now, when we have spent the last year working toward the independence of ZDNet?" Dan Rosensweig, ZDNet's former president and CEO, asked during a conference call this morning. "We believe this is a great deal for all of our shareholders. ... We saw an opportunity to seize the day. When we looked at the future, we said 'This is the right time to address this marketplace.'" Rosensweig will serve as president of CNET Networks. CNET Networks CEO Shelby Bonnie will continue to serve as CEO of the combined entity. Bonnie said the companies do not anticipate layoffs as a result of the acquisition. "We are not looking at [CNET and ZDNet] saying, 'How can we get rid of duplication?' but rather that both are faced with so much opportunity," Bonnie said. Together, the combined company will employ between 1,500 and 1,600 people. Both CNET and ZDNet will continue to exist as separate brands on the Web. "Clearly what's important is that we're going to keep independent brands, and the necessary organizations to support those. We realize the content and editorial staff is key to the integrity of each brand," Bonnie said. CNET and ZDNet have assembled an "integration team" consisting of executives familiar with each company in the hopes of ensuring a smooth transition. The companies will have combined cash and marketable securities totaling approximately $600 million and a market cap in the billions--CNET ended yesterday valued at around $2.8 billion, Ziff-Davis at $1.2 billion. The deal currently awaits shareholder approval. At press time, Ziff-Davis shares were up 18 percent at $13.38. CNET shares were down 9 percent, at $29.19. In the standard contract she signed, Harby granted Discover exclusive first North America English-language rights to the article, including the rights to republish it in future Discover editions. The contract allowed Discover to arrange reprints of the article, splitting the income generated 50/50 with the writer. "Subject to the rights granted to us in this Agreement, you shall retain all rights, including the copyright, in the Article," the contract reads. Jump to this week, when Harby discovered her article for sale on Contentville, Court TV and Brill's Content founder Steven Brill's new e-commerce venture that sells books, magazines, screenplays, and all things content-like. Harby's article is available on the site for $2.95. She's not alone--on Friday, freelance writers began alerting the National Writers Union, or NWU, that week-old Contentville was hawking their copyrighted work. Yesterday the organization issued a Writer's Alert cautioning members that "there could literally be thousands whose work is being used illegally at [Contentville]." Contentville officials maintain that Darby's article and more than a million others are offered on its site legitimately, under a contract with magazine archive company EBSCO, the publisher of a magazine database of more than 2,000 titles that contains articles stretching back 10 years. Contentville said its archive services, which also include dissertations, speeches, and transcripts, are contracted from suppliers including EBSCO, Bell & Howell, and Burrell's. "We are assured by Bell & Howell and EBSCO that they own the copyrights," Contentville spokeswoman Cindy Rosenthal said. An official from Ipswich, Massachusetts-based EBSCO said the company relies on publications to weed out articles with copyrights owned by the writers. "We work closely with the publisher to let us know if there are any [copyright] problems with any articles or writers," Spokesman Scott Bernier said. "If there's something we should be removing, we'll certainly work to alleviate that situation." In a letter sent to Brill yesterday, NWU President Jonathan Tasini urged the company to take steps to contain "what could be serious copyright infringement by Contentville.com." Citing complaints by several union members, Tasini proposed that Contentville use the Publishing Rights Clearinghouse, an NWU service, to ensure that writers get paid when their copyrighted material is sold. Brill responded to the NWU today, promising to work out any problems with Contentville's distribution. "We want to do not only what the law requires but what decent ethics require," Brill wrote. He said the site will keep records of each individual article sold in order to pay the rightful copyright owners. While Contentville has been promised, contractually, by its suppliers that the site has the legal rights to distribute the material, Brill said he is willing to discuss a royalty system for writers in the event of a disputed copyright. On a personal note, Brill added, "I'd be plenty pissed off if I thought I owned something and was watching as someone else sold it and pocketed the money." Tasini said he spoke with Brill and was impressed by Brill's response to the union's concerns. "From our talk, I was reassured he is genuinely interested in trying to come up with a solution," he said. "His response was far more open and willing to grapple with this issue than any publisher we've dealt with." Tasini said he and Brill are meeting on Tuesday to discuss what steps should be taken. Catherine Dold, a freelance writer with 10 articles for sale on Contentville, said she hopes the dispute is worked out so that writers are compensated for sales of their work. "If that happens, great," she said. "I'd love to have my stuff on there." Joking about the financial perils of freelancers, she added: "Maybe I can get half the $2.95 and buy myself a cup of coffee." CFO Gerry Burdo, who joined Kozmo.com in November 1999, will take over as president and acting CEO. Park will remain chairman of the company. Kozmo.com is at a critical period in its corporate growth: after maintaining a low profile during its first year of operation, Kozmo.com burst onto the dot-com scene last fall as it expanded throughout the United States and attracted a wave of press coverage. In March 2000, the firm filed for a $150 million IPO, but market conditions and its own internal obstacles have delayed the quick-delivery pioneer's Wall Street debut. Spokesperson Michael Gordon said the management change came about naturally: "Joseph has been discussing it, and just felt that Gerry was the ideal candidate to follow in his footsteps," he said. "Gerry is very focused on two things: the customer experience and the bottom line. He's very focused on profitability in all of our markets." Those 10 markets include five launched this year, an ambitious rollout schedule that contributed to Kozmo.com's troubling financials: According to its IPO filing, the company brought in net revenues of $3.5 million in 1999, on a net loss of $26.4 million. Its accumulated deficit totaled $27.3 million. In a prepared statement, Burdo said, "We are on a fast and disciplined track to profitability in all of our markets--without slowing the exponential growth we've experienced on the top line." "We are lucky to be growing faster than I could have ever imagined, and I am thrilled with our accomplishments. Now is the ideal time for Kozmo.com to be led by someone equally obsessed with serving our customers and serving the bottom line," Park said in a release. "Gerry is an outstanding, disciplined manager who wants to keep adding to the customer experience, and I am pleased that he accepted my offer to become president and acting CEO." Burdo's stay in the CEO position could be permanent--the company has yet to hire an executive search firm. Jeff Sullivan, currently VP and corporate comptroller, has been named acting CFO. Since its inception, Kozmo.com has raised more than $250 million in capital, including investments from Amazon.com, Flatiron Partners, Oak Investment Partners, and New York City Investment Fund. In February, the company inked a $150 million marketing pact with Starbucks that significantly increased its visibility but will carve into its bottom line. Last month Kozmo.com followed the latest dot-com trend and cut two dozen staffers in a move designed to increase efficiency. CCS will continue to operate out of its headquarters in San Luis Obispo, California, under the leadership of CEO Mike Adamski. Alloy CFO Sam Gradess said he expects the acquisition to add $10 million to Alloy's revenues during FY 2000, and $20 million in FY 2001. He also forecasted a "modestly profitable" fourth quarter for the content, community, and e-commerce site. In Q1 2000, Alloy generated net revenues of $7.7 million on a net loss of $6.3 million. Gradess said Alloy will not need any additional outside capital to reach profitability, citing stockpiled cash from the company's $55.5 million IPO in May 1999 and from a recent investment from Liberty Digital. In a prepared statement, Alloy CEO Matt Diamond said, "We are extremely pleased to announce this acquisition, as CCS is hands down the premier direct marketer to Generation Y boys. ... We plan to leverage the CCS conduit to Generation Y boys to drive both merchandise and sponsorship revenues. This deal represents an important step as we continue to evolve into the dominant Generation Y-focused marketing company." The deals also adds some 175 employees (including hourly and call-center workers) to Alloy's current roster of about 130. The new venture's revenue model will be based largely on advertising and sponsorship, according to iVillage CEO Candice Carpenter. Carpenter called the proposed Q4 2000 launch of iVillage U.K. "the first very exciting step in the globalization of iVillage." The agreement marks iVillage's first international equity relationship. Tesco's extensive network of offline stores reaches more the half the U.K. population. Tesco will be featured on iVillage U.K., and its products and services will be woven into the iVillage network. IVillage U.K. will be its own entity, independently managed and focused locally. Initially, the site will be comprised of eight content channels, officials said. Apple CEO Steve Jobs, in his traditional jeans and black turtleneck, made a series of new product announcements during his 9 A.M. keynote. Apple has added a new line of cube-shaped desktop computers, brought the entry-level price of the iMac down, and announced that the two top-of-the-line G4 models now come standard with two processors. Jobs drew a laugh by opening his talk with the admission that "some people didn't like," the old, round mouse--unaffectionately nicknamed the "hockey puck"--while the screen above him flashed a ZDNet quote calling it "the worst-designed mouse ever." Apple has replaced it with an optical mouse that will be standard on all Macs. In a mea culpa of sorts, Apple gave out the $59 mouse to all of the several thousand keynote attendees. Of most interest to designers and video editors was the announcement that the two high-end G4 Macs--speed unchanged at 450 MHz and 500 MHz—are now multiprocessor machines, with two CPUs standard at the same price they sold for yesterday. It's the first desktop PC with standard multiprocessing. Apple claims it is twice as fast as a Pentium III 1GHz at Adobe Photoshop, and predicts it will save designers "an hour or two each day." The iMac line got a boost with several new colors that are far more sophisticated--okay, better looking--than the old candy-colored models. The current basic model, running at 350 MHz, has had a few hardware tweaks, and the priced dropped to $799 to compete with the falling price of consumer PCs. Apple also announced a new, improved version of its iMovie home video editing software, which it's pushing quite hard. In a bid to retain the reputation for innovative styling Apple won with its two-year-old iMac, Jobs announced an entirely new line, the Power Mac G4 Cube, which is an eight-inch cube on a plastic base that nonetheless does not require a fan. It's designed to fit a new, 15-inch flat-panel monitor for a more elegant desktop design. In keeping with Jobs' penchant for surprise, this was the last announcement. A Microsoft representative Jobs brought onstage actually got enthusiastic applause with a preview of Microsoft Office 2001 for Mac, which has an Outlook-like e-mail/calendar program called Entourage and will be even more compatible with Office 2000, promised Microsoft VP Kevin Brown. Not that everything was joyous in Mudville-on-the-Hudson. Despite the new product announcements, Apple's stock was down $4.7 at 3 P.M. on yesterday's earnings announcement that Apple made 45 cents a share after one-time profits last quarter, compared with 60 cents per share in the same period last year. The decrease may have been due to a sales shortfall in the iMac line, which sold some 50,000 units less than its predicted half-a-million units. Another strange aspect of Macworld Expo was the conspicuous absence of Palm and Handspring--both regular Macworld attendees--from the exhibitor floor. Both companies have touted their dedication to the Apple market quite loudly as of late, and both had large booths at the PC Expo show at the Javits Center last month. Despite rumors swirling for months among hardcore Mac fans that Apple is coming out with an Apple-branded Palm, the only mention of the platform was by Microsoft's Kevin Brown, who said Entourage would sync well with the Palm OS. The Daily was unable to reach Palm for comment. As for humor, which inevitably is present at Jobs' keynotes, the new iMac commercials were previewed. The indigo iMac spot has Elvis' "Blue Suede Shoes" for a soundtrack; the ruby model carries Dion's "Ruby, Ruby." The most popular model, judging by the crowd's laughter, was the sage, whose subdued colors are pitched to the tune of Kermit the Frog singing "It's Not Easy Being Green."
